GREENWICH, Conn., and HOUSTON, and LONDON, June 14 /PRNewswire/ -- First Reserve Corporation, a leading private equity firm that specializes in the global energy industry, today announced that it has signed a definitive agreement to sell Power Well Services Inc. ("Power Well"), to Expro International Group PLC ("Expro"), a leading UK-listed oilfield service company that provides well-performance and production-optimization services to the global oil and gas industry. Total consideration payable by Expro in relation to the acquisition of Power Well is $674.5 million, and includes $115.0 million payable in Expro common stock and the balance to be paid in cash. After the repayment of Power Well's outstanding debt at closing, Power Well's shareholders will receive approximately $300.0 million in cash. Pending the approval of Expro's shareholders and certain regulatory authorities the acquisition is scheduled to close by the end of July.
