ATS Medical To Restate Q1'06, FY05 Results - Update

The Minneapolis, Minnesota based company notified that the decision for restatement was taken in view of bifurcating and separately accounting the conversion rights under the convertible senior notes. The $22.4 million aggregate principal amount of the 6% Convertible Senior Notes sold by ATS in October 2005 and due in 2025 were convertible into shares of the company's common stock at a price of $4.20 per share. The notes will be converted into 5.33 million common shares, if a full conversion is exercised. As the company does not have sufficient stock of its unused, fully outstanding common shares to convert all the notes, ATS has taken the step to bifurcate the conversion rights and restate the previously filed financial statements for the fiscal year 2005 and the first quarter of fiscal year 2006. ATS expects that the restatements would lower the net loss for fiscal 2006 and the first quarter, as the exact amount involved has not been decided.

Alloy Files Registration Statement; Receives Nasdaq Notice On

The company has been notified by Nasdaq Stock Market that it no longer meets the independent director requirements for continued listing on the Nasdaq Stock Market. As per the requirements set by Nasdaq, the company should maintain a majority of independent directors on its Board of Directors and Alloy's compensation committee should consists solely of independent members. Owing to Feshbach's disqualification, the number of Alloy's independent directors under Nasdaq listing standards is now four of eight total directors. Also, Feshbach is one of the members of Alloy's compensation committee, which is not comprised solely of independent directors any more. The company is advised to submit a letter to Nasdaq, summarizing its plan to regain compliance with the requirements. Alloy expects to get an additional 90 days to meet the deadline and is hopeful of issuing the letter and regaining compliance within the stipulated period.
